VAME Constitution and Bylaws

ARTICLE I

NAMES, PURPOSES, AND AUTHORITY FOR GOVENANCE

Section 1:  The name of this association will be the VIRGINIA  
                  ASSOCIATION OF MARKETING EDUCATORS (VAME).

 

Section 2:  The purpose of VAME shall be to:

a.       maintain an active role of professional leadership in the promotion of Marketing  on the local, state, and national levels.

b.      provide an open forum for the study and discussion of questions involving Marketing.

c.       encourage and support the further development of programs that will both improve and broaden the scope of Marketing within the educational programs of the Commonwealth of Virginia.

Section 3:  The association shall be governed by the constitution,
                  the by-laws, Robert’s Rules of Order, latest revision,
                  and other such actions as the membership and
                  executive board may take that are consistent 
                  therewith. 

ARTICLE II

MEMBERSHIP
Section 1:  Membership is provided in the constitution and
                  by-laws shall be open to all persons and
                  organizations interested in advancing the purposes of
                  the association as stated in the constitution and
                  by-laws.

 

Section 2:  Classes of membership shall consist of a class for
                  active members and other classes as may be provided
                  in the by-laws.

 

Section 3:  The association shall not deny membership to any
                  individuals or organizations on the basis of race,
                  creed, national origin, or sex, nor shall any
                  organization which denies membership for any of
                  these reasons be affiliated with the association.

 

 

 

ARTICLE III
OFFICERS
Section 1:  The officers of this association shall be a president,
                  president-elect, past-president, 
secretary, treasurer,
                  a director for each geographic region, and a public
                  relations 
officer.

Section 2:  Officers shall be elected as stipulated in the by-laws.


ARTICLE IV

MEETINGS

Section 1:  An annual business meeting of the association shall
                  be held at the same time and place as the state-wide
                  conference of Marketing personnel, or upon the 
                  call of the president.  In the event there is no state-
                  wide conference of Marketing personnel, such
                  business as is deemed necessary by a member of the 
                  executive board may be conducted on a geographic
                  basis by a member of the 
executive board.  Region
                  meetings may not pass changes to the constitution or
                  the by-laws.

 

Section 2:  A professional meeting may be held each year in
                  conjunction with the VACTE fall 
meeting or the VEA
                  spring meeting.

 

Section 3:  The executive board shall meet at the call of the
                  president or at the written request 
of a majority of
                  the board.

 

Section 4:  A called meeting shall be held at the written request
                  to the executive board by 
twenty-five (25%) of the
                  active membership.

 

Section 5:  A quorum for the state-wide business meeting shall
                  consist of twenty-five percent 
(25%) of the active
                  membership.  For regional meetings, a quorum shall
                  consist of 
twenty-five percent (25%) of the active 
                  membership within that geographic region.

 

ARTICLE V

AFFILIATE OF VAME

Section 1:  The Virginia Association of Marketing Educators
                  functions as a professional group 
with the Marketing
                  division of the Virginia Association for Career and
                  Technical Education (VACTE), and is also affiliated 
                  with the Virginia Education Association (VEA), the
                  Marketing Education Association (MEA), and the
                  Association for Career and Technical Education
                  (ACTE).

 

ARTICLE VI

AMENDMENTS TO THE CONSTITUTION

Section 1:  The constitution may be amended by a two-thirds
                  vote of all active members 
present at the annual
                  business meeting, provided that:

a.      The proposed amendments have been submitted in writing to the president at least sixty (60 days) prior to the annual meeting and

b.      The proposed amendments have been submitted by the president to the active membership at least thirty days (30) days prior to the annual meeting.

 

Section 2:  Amendments to the constitution will become effective
                  at the close of the business session in which they
                  were passed.

 

Virginia Association of Marketing Educators By-laws

 

ARTICLE I

SPECIFIC OBJECTIVES

Section 1:  The specific objectives directed toward the achievement of the stated purposes of

                    the association shall be:

a.       To support and work for the growth of Marketing at both the high school and post-high school levels. 

b.      To provide positive encouragement to prospective teacher-coordinators.

c.       To provide programs which lead to professional development of all members.

d.      To review state and national proposals affecting Marketing, cooperate with affiliates of VAME on such proposals, and to take positive action to the benefit of all members.

e.      To keep the membership informed of and involved in association activities.

 

ARTICLE II

MEMBERSHIP

Section 1:  All individuals, firms, and/or organizations interested
                  in advancing the purposes of 
the association and
                  adhering to the constitution and by-laws shall be
                  eligible for 
membership in one of the following 
                  classifications:

a.      ACTIVE MEMBERS…all persons currently teaching Marketing or in administration at the middle, secondary, or postsecondary level.  Voting privileges and the right to hold office shall be extended to these members.

b.      STUDENT MEMBERS…full-time students receiving training in Marketing beyond the high school level.  Voting privileges and the right to hold office shall not be extended to these members.

c.       HONORARY LIFE MEMBERS…awarded to those who have contributed personal services above and beyond that required to insure successful operation of the association.  Voting privileges and the right to hold office shall not be extended to these members.

d.      ASSOCIATE MEMBERS…extended to any individual, business firm, or organization interested in advancing the purposes of the association.  Voting privileges and the right to hold office shall not be extended to these members.

 

ARTICLE III
OFFICERS AND ELECTIONS
 

Section 1:  A president-elect shall be elected annually in
                  accordance with election procedures. 

                  After one year as president-elect, this officer shall
                  assume the office and duties of president.  The
                  following year, this officer shall serve as past-president.

 

Section 2:  A secretary shall be elected every two years.  The
                  office of secretary at-large will be elected in odd
                  numbered years.

 

Section 3:  A treasurer shall be elected every three years.

 

Section 4:  A region director shall be elected in alternative years 
                  by the active members from that region to service for
                  a period of two years. Geographic regions shall be 
                  established by the Marketing division of the State
                  Department of Education.

a.      Regions 1, 2, and 3 shall be elected in odd numbered years.

b.      Regions 4 and 5 shall be elected in even numbered years.

 

Section 5:  A nominating committee, chaired by the president-elect,
                  shall be appointed by the president.  The committee
                  shall solicit nominations for each office from the
                  general membership.  A ballot shall be derived from
                  nominees entitled to the rights and privileges of
                  active members of the association.

 

Section 6:  At-large elections shall be held every two years for
                  office of public relations.

 

Section 7:  Elections shall be held at the annual state –wide
                  conference.  In years where there is no state-wide
                  summer conference, elections shall be held at     
                  regional meetings or by mail.

 

Section 8:  Any person holding membership in the Virginia
                  Association of Marketing Educators and is currently
                  teaching Marketing and holds tenure at the middle or
                  secondary level is eligible to be elected as an office
                  of the organization.  In the event an elected officer
                  fails to renew his or her membership, he/she shall be
                  ineligible to remain in office.

 

Section 9:  Any officer may be removed, at any time, by the 
                  Executive Board subject to the provisions of the laws
                  of the state and any limitations to the Constitution
                  and By-Laws of the organization.  Any such
                  resignation shall take effect at the date of receipt of
                  such notice or at any later date specified therein, the
                  acceptance of such resignation shall not be necessary 
                  to make it effective. 

 

Section 10:  Any vacancy caused by death, resignation, removal,
                  disqualification, or otherwise, of any officer, shall be
                  filled by the Executive Board for the reminder of the
                  term or until an election is held to fill the vacancy. 

 

                   In the event of a vacancy of any office other than 
                   that of President, such vacancy shall be filled  
                   temporarily by appointment by the President until
                   such time as the membership shall fill the vacancy. 
                   In the event of a vacancy in the office of the
                   President, the Past President shall become President.

 

 

ARTICLE IV

ORGANIZATION

Section 1:  The administration of this association shall be vested 
                  in the executive board.

 

Section 2:  The executive board shall consist of the president,
                  past president, president-elect, secretary, treasurer, 
                  region directors, public relations officer, and the
                  Marketing Associate Specialist.  The Marketing
                  Associate Specialist shall serve as a non-voting
                  member of the executive board.  In situations when it
                  is impossible for a majority of the executive board to 
                  meet, the business shall be conducted by
                  the president, president-elect, secretary, and treasurer.

 

ARTICLE V

AMENDMENTS TO THE BY-LAWS

Section 1:  The by-laws may be amended by two-thirds vote of
                  the active members present and

                    voting at the annual meeting, provided that:

a.      The proposed amendments have been submitted in writing to the president at least forty-five (45 days) prior to the annual meetings and that

b.      The proposed amendments have been submitted in writing to the active membership in advance of the date set for the annual business meeting.

 

Section 2:  Amendments to the by-laws will become effective at
                  the close of the business session in which they were
                  passed.

 

ARTICLE VI

DUTIES OF THE OFFICERS

Section 1:  The president shall preside at all meetings of the
                  association and the executive board, and shall have
                  general supervision over the affairs of the
                  association.  He/she shall serve as the primary
                  representative to the annual ACTE convention and an 
                  ex-officio member of all committees, except the
                  nominating committee.  He/she shall appoint
                  members to fill unexpired terms of board members
                  until the next regular elections and perform other
                  duties necessary for the successful operation of the

                  association.

 

Section 2:  The president-elect shall preside at all meetings in
                  the absence of the president; or, if unable to do so,
                  the officer appointed by the president shall assume
                  these duties. 

                  He/she shall serve as program chairman at all
                  meetings, keep the president informed of its
                  activities, be chairman of the nominating committee,
                  and shall perform other such duties as may be
                  assigned him/her by the president.

 

Section 3:  The duties of the secretary shall be to keep accurate
                  minutes of the business meeting and executive board
                  meetings.  He/she shall also conduct such                 
                  correspondence and duties as assigned by the president.

 

Section 4:  The treasurer shall receive, disburse, and keep 
                  accurate records of all funds of the association-
                  related activities under the direction of the president.  

                  He/she shall keep accurate membership records and
                  forward dues collected to MEA, VACTE, and ACTE. 

 

Section 5:  Region directors shall assume responsibilities for
                  memberships, news, and liaison with the executive
                  board for the respective geographic area. Directors
                  shall perform other such duties as requested by the
                  president.

 

Section 6:  The public relations officer shall promote the
                  organization through newsletter media and
                  correspondence with appropriate groups or
                  individuals to achieve the goals of the VAME organization.

 

Section 7:  The past president shall serve as ex-officio on the
                  Executive Board for the year immediately following
                  the term of President, serve as a consultant to the
                  President, and serve as transition officer for any
                  vacancy that occurs that cannot be filled, or until
                  such time as the Executive Board fills the position or
                  an election occurs.

 

ARTICLE VII

GENERAL FINANCE

 

Section 1:  The fiscal year of the association shall be that of
                  August 1- July 31.

 

Section 2:  Dues shall be established by the active membership
                  and recorded in the official minutes of the association.

 

Section 3:  Dues are payable at the expiration of each
                  membership year.

 

Section 4:  Necessary expenses of officers shall be reimbursable.

 

Section 5:  An annual audit shall be conducted. The audit
                  committee shall be appointed by the president.
